We provide real estate development, brokerage, and management services, including credit repair and
homeownership counseling for first-time homebuyers, in under- served communities.

HOW WE DO IT

The clearest indicator of a neglected neighborhood lies in the neglect and misuse of that community’s
residential and commercial real estate.  These neighborhoods tend to have a lower percentage of
owner-occupied housing, and a higher amount of vacant, abandoned, or under-utilized commercial
properties.

Our goal is to revitalize communities by promoting affordable housing and providing innovative
commercial solutions through our development, brokerage, and management services.

Development

Wind & Rain, Inc. looks for strategic housing and commercial development opportunities in emerging
neighborhoods.

Residential Development goals:

Increase the number of owner-occupied housing units.
Increase the number of affordable housing opportunities available.
Form joint ventures with local organizations (CDC’s, non-profits, churches, etc.).
Build unique live/work and live/rent housing opportunities.
Build homes with cost-effective design elements indigenous to the neighborhood.
Commercial Development goals:

Increase the number of local businesses in target neighborhoods.
Attract commercial tenants who provide jobs and overall economic stimulus to the Neighborhood.
Avoid tenants that further distress low-income neighborhoods (check-cashing, pawn shops, bailsbonds,
used cars, liquor stores, etc. )
Brokerage

Wind & Rain Properties, Inc., an affiliate of Wind & Rain, Inc., provides buyer-centric brokerage
services with special attention paid to low-to-moderate income, first-time homebuyers.  Wind & Rain
Properties also actively encourages local residents to pursue real estate licensing. Wind & Rain
Properties’ commercial brokerage division actively promotes investment in target communities.

Property Management

Wind & Rain Properties, Inc. provides property management services for both residential and
commercial properties in target areas.  We believe that good property management in emerging
neighborhoods is vital to the community revitalization process.

WHAT WE’VE DONE

2004 Recipient of the Village West Homeowners and Tenants Association "Maude Elizabeth Dean Pitter
Pitter Community Spirit Award." Commenced renovation of former "Gil's Spot" bar into new five tenant
retail building, the first new retail building on Grand Avenue in 50 years. Signed Pointe Bank as anchor
tenant, the first bank ever to open in the heart of West Coconut Grove.

2003   March of Dimes and South Florida Business Journal "Building Our Community Awards" Finalist in
Residential Development.

2002   Anthony R. Parrish, Jr., President of Wind & Rain, is Founding member and Housing Committee
Chairperson of “ The Island District Coconut Grove Collaborative”, Cecelia E. Holloman, Coordinator.
The Collaborative is a local community based initiative whose mission is “ To work together to improve
housing, business and the quality of life in Coconut Grove, to protect, preserve, and promote a
prosperous community that will retain its residents, attract other families, businesses and individuals,
and serve as a pleasant place to live, visit and invest. Appointment of  Mark Ogletree, new owner of
3410 Frow Avenue, as first associate of Wind & Rain Properties, Inc., in charge of “ New Homeowner
Counseling.”

2001   October 9, 2001 is proclaimed “Wind & Rain Properties Day” by Hon. Joe Carollo, Mayor of the
City of Miami, to celebrate ribbon cutting of 3410 Frow Avenue, a former drug house “ gut rehabbed”
into a new affordable 3BR/2BA home for the Mark Ogeltree family, first-time home buyers.

2001     Awarded “Certificate of Appreciation for Business and Economic Development” by Hon. Alex
Penelas, Mayor, Miami-Dade County.

2001      Recognized by University of Miami School of Architecture at “ Valued Friendship and Support”
Annual Dinner.

2001    Emerged as both the Social Enterprise and Overall Grand Prize Winner of the Second Annual
Harvard Business School-African-American Student Union 2001 Entrepreneurial Ventures Competition.  
Awarded the Grand Prize of $10,000.

2001     Launch of the Island District™ community re-branding initiative.

2001    Pre-Development of 6 "Live/Rent" ™  units on Hibiscus Street as part of company’s "anti-
gentrification” strategy for Coconut Grove.

2001    Awarded Coconut Local Development Corporation’s first annual  “Business/Economic
Development Award.”

2001    In conjunction with the UM Center for Urban and Community Design, creation of “Live/Work"
and “Live/Rent”™  housing solutions for sub-standard size lots in Coconut Grove.

2001    Formation of Joint Venture with Rafael Hernandez Housing Corporation to develop 4 new
houses for low-income homeownership in the Allapthan and Wynwood sections of Miami.

2000   Assisted County Commissioner Jimmy Morales in creating a "Deep Subsidy" Mortgage Program
for the Miami-Dade Housing Finance Authority.

2000    Sixth Place Award (out of 315 entrants) in the Miami Herald’s Year 2000

Business Plan Contest.

2000    Acquisition of “Royal Poinciana Bar” at 215 Grand Avenue and begin conversion into a law
office.

2000    Awarded the University of Miami School of Architecture’s "Distinguished Service Award."

2000    Outdoor Presentation (on wall of “Gil’s Spot”) of the University of Miami’s film "KEBO"
documenting and the University’s multi-disciplinary efforts to date in the revitalization of the historic
Bahamian community of Coconut
Grove.                                                                                                                            

2000    Development of Two-Story affordable 3/BR  2+1/2BA house at 3644 Thomas Avenue, designed
and built by architecture students at University of Miami’s Center for Urban and Community Design.

1999    Awarded Coconut Grove Local Development Corp’s "Community Leadership Award."

1999    Completion of Development of the Caribbean Building at 141-149 Grand Avenue, the first new
office building built in West Coconut Grove in 40 years which becomes headquarters of Wind & Rain,
Wind & Rain Properties, Inc., and development partner Devon Construction, Inc.

1999    Articles of Incorporation filed for Wind & Rain Properties, Inc., a full-service real estate
brokerage and property management firm.

1999    Formation of collaborative partnership with the University of Miami Center for Urban and
Community Design under leadership of Dr. Samina Quraeshi and Prof. Richard Shepard.

1998    Acquisition of “Gil’s Spot Bar” at corner of Grand Avenue and Douglas Road as part of
company’s commercial revitalization/development strategy.

1996    Awarded Coconut Grove Civic Club’s “Spirit of the Grove” Award for “Selfless Service to the
People and Community of Coconut Grove."

'95-'03 Thirteen more houses developed and sold to first-time low-to-moderate income Coconut Grove
families.  One “custom” house built for retiree returning to Coconut Grove.

1995    First affordable house built and sold at 3416 Frow Avenue, Coconut Grove, to Cheryl Ogletree,
postal worker and lifetime Grove resident.

1994    Request made to City of Miami for creation of “Soft 2nd” Mortgage Program. Prior to this, Miami
had no such program to assist developers to build homes for first-time homebuyers.

1994    Articles of Incorporation of Wind & Rain, Inc. filed.

WHO WE ARE

Anthony R. Parrish, Jr., Founder, President and Chairman of the Board, was a tax lawyer before
becoming in 1984 a founding partner of a commercial real estate brokerage company and later of his
own real estate consulting practice.  In 1994, he started Wind & Rain, Inc. in order to initiate the
revitalization of the historic Bahamian community of Coconut Grove.

Andy Louis-Charles, Partner, CEO and Vice-Chairman, holds a bachelor’s degree in Industrial &
System Engineering from Georgia Tech, and a law degree for the University of Florida.  He has held
various positions in both the engineering and legal community.  In 2000, he joined Wind Rain, thus
joining the growing field of individuals who identify themselves as “social entrepreneurs” and who are
involved in the operation of market-based businesses that pursue a social mission.

David J. Alexander, VP of Marketing, with a degree in marketing and business administration was the
Executive Director and CEO of the Coconut Grove Local Development Corporation form 1983 to 1998
where he directed the development of over 40 new houses, and the rehab of 76 others. In 1999, he
joined Wind & Rain, Inc.

Ysmael M. Benitez, VP for Construction and Development, is a Florida licensed general contractor who
has built all of Wind & Rain’s houses as well as its office headquarters.  He has performed as general
contractor or subcontractor on contracts in excess of $25 Million for all types of residential, industrial
and commercial construction.

Richard Shepard, VP of Design, is currently the Director of the Center for Urban & Community Design
the University Of Miami School of Architecture.  A practicing architect since 1982, he is also a principal
of Shepard Quraeshi Associates, a multi-disciplinary graphic design, publishing, and architectural firm

Board of Directors:

Dr. Samina Quraeshi, the Henry R. Luce Professor in Family and Community at the University of Miami ,
is an award-winning artist, designer and author.  With her husband Richard Shepard, she is a principal
of Shepard Quraeshi Associates,  Since 1998, she has led an interdisciplinary team of faculty, students
and community leaders to provide networks to support family life in Miami’s impoverished urban
environments.  Prior to coming to Miami, Ms. Quraeshi served as Director of Design at the National
Endowment for the Arts.  She also serves on the Board of Directors for the Fulbright Scholars
programs, American Institute of Graphic Arts, and the Arango Design Foundation, among others. In
addition to her recent work in revitalizing West Coconut Grove, she led design and community
involvement workshops all across the country, including Salt Lake City in preparation for the 2002
Winter Olympics.

Mark L. Rivlin, Esq., is a practicing attorney specializing in real estate transactions. A 1981 graduate of
the University of Miami School of Law, he joined the Weil, Gotshal & Manges law firm in 1985.  In 1991,
he started his own law firm. Representing such clients as Northern Trust Bank and Executive National
Bank.  He has been the corporate counsel for Wind & Rain from its inception in 1995.
